New Jersey Registered Agent Requirements: What Every LLC Owner Needs to Know
July 22, 2026 · 4 min read
If you've formed an LLC or corporation in New Jersey, you were required to name a registered agent on your formation paperwork — but a lot of business owners don't fully understand what that role does or why it matters until something goes wrong.
What a registered agent actually does
A registered agent is the official point of contact between your business and the State of New Jersey. That includes:
- Accepting service of process if your business is ever sued
- Receiving official state correspondence, including annual report reminders
- Being available at a physical New Jersey street address during normal business hours
New Jersey's requirements
Under New Jersey law, a registered agent must be either a New Jersey resident who is at least 18 years old, or a business entity authorized to do business in the state. In either case, the agent must maintain a physical street address in New Jersey — a P.O. box does not qualify — and be available during normal business hours to accept documents in person.
Why using your home address (or yourself) can backfire
Many single-member LLC owners name themselves as their own registered agent using their home address. This is legal, but it comes with real downsides:
- Your home address becomes part of the public record, searchable by anyone who looks up your business
- If you're ever served with a lawsuit, it may happen at your home, in front of family, neighbors, or customers
- If you're out of the office, traveling, or simply not home when a document arrives, you can miss a filing deadline — sometimes with serious consequences, including default judgments
- If you move, you must formally update your registered agent information with the state
What happens if you don't maintain a valid registered agent
If the state can't reach your registered agent, or your agent resigns and you don't name a replacement, your business can fall out of good standing. In some cases, this can lead to administrative dissolution — meaning your LLC or corporation loses its legal status until the issue is resolved.
The case for a professional registered agent service
A dedicated registered agent gives you a stable, professional New Jersey address that doesn't change when you move offices, keeps your home address off public business records, and ensures someone is reliably available during business hours to accept documents — with same-day notification when something arrives.
